Speedy Deploy Terms of Service

These Terms of Service (the "Terms") govern your access to and use of Speedy Deploy, a web platform for building in-app flows for mobile apps and deploying them remotely to your users' devices without shipping a new app-store release. "Speedy Deploy," "we," "us," and "our" refer to the provider of the platform; "you" and "Customer" refer to the individual or entity that accesses or uses the platform.

By creating an account, clicking to accept, or otherwise accessing or using the platform, you agree to these Terms. If you are entering into these Terms on behalf of a company or other organization, you represent that you have authority to bind that entity, and "you" refers to that entity. If you do not agree, do not use the platform.

1. Acceptance and Eligibility

To use Speedy Deploy you must be at least the age of majority in your jurisdiction and capable of forming a binding contract. The platform is a business tool intended for use by mobile product, growth, and monetization teams and by independent app developers, and it is not directed to consumers or to children.

You may use the platform only in compliance with these Terms and all applicable laws. If your access has previously been suspended or terminated for cause, you may not use the platform again without our written permission. We may require verification of your identity or authority at any time as a condition of continued access.

2. Description of the Service

Speedy Deploy lets you assemble in-app flows for your mobile applications screen by screen on the web and deploy those flows remotely so that your app renders them natively on the end user's device, without you having to publish a new app-store release for each change. Flows can serve any purpose you configure, including user onboarding leading into a paywall, offboarding or cancellation and win-back streams, upsells, promotions, surveys, and other internal flows.

The platform also provides analytics for your flows, including funnel, step-by-step drop-off, and conversion reporting, and it provides experimentation tools, including A/B and multivariate testing across multiple screen variants and conditional or branching experiments in which the screens shown to an end user change based on the content that user selects or answers.

The platform depends on integration between your mobile application and our software development kit or APIs; certain features, including native rendering and analytics collection, require that you correctly implement and maintain that integration in the versions of your app distributed to end users.

3. Accounts, Teams, and Roles

To use most features you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorized use or suspected compromise of your account.

The platform supports team workspaces and role-based access, allowing you to invite members and assign roles and permissions. You are responsible for configuring roles appropriately, for the acts and omissions of everyone you invite or grant access to, and for ensuring that each member complies with these Terms. Members with sufficient permissions may build, edit, deploy, and delete flows, start or stop experiments, and view analytics; you are responsible for the consequences of those actions across your workspace.

You represent that each person you add is authorized to act on your behalf, and you remain responsible for all fees, content, and activity associated with your workspace regardless of which member generated them.

4. Acceptable Use

You agree not to use Speedy Deploy, and not to allow any member or end user, to create, deploy, or distribute flows or content that are unlawful, fraudulent, infringing, defamatory, or that violate the rights of any person. You may not use the platform to deceive, manipulate, or mislead end users, including by misrepresenting prices, subscription terms, cancellation options, or the nature of what a user is agreeing to, or by using deceptive or manipulative interface patterns designed to trick users into purchases or consent.

You may not interfere with or disrupt the integrity or performance of the platform; attempt to gain unauthorized access to it or to related systems or data; probe, scan, or test its vulnerabilities except under a program we authorize in writing; circumvent usage limits, authentication, or access controls; or reverse engineer, decompile, or attempt to derive source code except to the extent that restriction is prohibited by law.

You may not use the platform to build or train a competing product, to resell or provide it to third parties except to serve your own end users through your own applications, or to transmit malware or send unsolicited communications. We may investigate suspected violations and cooperate with law enforcement where appropriate.

5. Customer Content and Data Ownership

As between you and us, you own the flows you create, the content you upload, and the data generated through your use of the platform, including your end-user analytics data (collectively, "Customer Content"). We do not claim ownership of Customer Content, and nothing in these Terms transfers your ownership to us.

You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, display, and adapt Customer Content, and to process end-user analytics on your behalf, solely as necessary to operate, provide, secure, and support the platform, to deliver and render your flows on end-user devices, and to generate the analytics and experiment results you request. This license also permits us to make backups and to perform technical operations such as formatting and reformatting for delivery across devices.

We may generate and use aggregated or de-identified data derived from use of the platform to operate, maintain, and improve the platform, provided that such data does not identify you, your end users, or your applications. You are responsible for the accuracy, quality, legality, and appropriateness of all Customer Content and for having the rights necessary to provide it to us for the purposes described here.

6. End Users, App-Store Rules, and Privacy Compliance

Your relationship with your end users is yours alone. You are solely responsible for the flows you deploy to them and for compliance with all rules and policies of the app stores and mobile platforms through which you distribute your applications, including any policies governing remotely delivered content, in-app purchases, subscriptions, and disclosures. We do not guarantee that any flow you build will comply with, or be accepted under, any app-store or platform policy.

You are responsible for compliance with all privacy, data protection, and consumer protection laws applicable to your collection and use of end-user data through the platform, including providing any legally required notices, obtaining any required consents (including for analytics and tracking), honoring user rights and choices, and maintaining an accurate privacy policy. You will not provide us with end-user data in violation of law or of the commitments you have made to your end users.

To the extent we process personal data of your end users on your behalf, we do so as your processor or service provider under your instructions as reflected in these Terms and any applicable data processing terms we make available; you act as the controller or business with respect to that data.

7. Plans, Fees, and Trials

Access to paid features is offered under the plans and pricing described at the time of purchase or in a separate order. Unless stated otherwise, fees are quoted exclusive of taxes, are billed in advance for the applicable subscription period, and are non-refundable except as required by law or expressly stated. You authorize us or our payment processor to charge the payment method you provide for all applicable fees.

We may offer free trials or evaluation access. We may modify or discontinue any trial at any time, and features available during a trial may differ from paid plans. If you do not cancel before a trial ends, we may begin charging the applicable fees for the plan you selected.

We may change plans, features, and pricing on a going-forward basis; changes to recurring fees will take effect at your next renewal unless we state otherwise. If you exceed the usage limits of your plan, we may require an upgrade or apply additional charges. Additional billing terms presented at purchase apply and are incorporated into these Terms.

8. Service Availability and Changes

We strive to keep the platform available and to deliver your flows reliably, but we do not guarantee that the platform, flow delivery, analytics collection, or experiment execution will be uninterrupted, timely, secure, or error-free. Availability may be affected by maintenance, updates, network conditions, end-user device and app behavior, and factors outside our control.

We may modify, add, or remove features of the platform, and we may change the way flows are built, delivered, or measured, at any time. We will use reasonable efforts to avoid materially degrading core functionality of paid plans during a paid term, but we may make changes we deem necessary for security, legal, or operational reasons. Where practical, we will provide notice of material changes that adversely affect core functionality.

9. Third-Party Services

The platform may integrate with or depend on third-party services, including mobile operating systems and app stores, payment and subscription providers, cloud hosting, and analytics or messaging tools. Your use of those services is governed by their own terms and policies, and we are not responsible for their availability, performance, acts, or omissions.

If you connect a third-party service to your workspace, you authorize us to exchange data with that service as needed to provide the integration, and you are responsible for maintaining any credentials and permissions required. We may cease supporting any third-party integration at any time.

10. Intellectual Property

The platform, including its software, SDKs, APIs, user interface, documentation, and the Speedy Deploy name and logo, and all related intellectual property rights, are and remain our exclusive property and that of our licensors. Except for the limited rights expressly granted to you in these Terms, we grant you no license or other rights in the platform.

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the platform and to embed our SDK in your applications solely to build, deploy, measure, and experiment with your own in-app flows for your end users. If you provide us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.

11. Suspension and Termination

You may stop using the platform and cancel your subscription at any time in accordance with the applicable billing terms. We may suspend or terminate your access, in whole or in part, if you breach these Terms, if your use poses a security, legal, or operational risk, if required by law, or for non-payment. Where reasonable, we will provide notice and an opportunity to cure, but we may act immediately when necessary to protect the platform, our other customers, or third parties.

Upon termination, your right to access the platform and to deploy or update flows ceases, and flows already delivered may stop rendering or updating depending on your app's integration and caching. We may delete Customer Content after termination following any retention period we make available; you are responsible for exporting or retaining a copy of your Customer Content before termination where such functionality is provided.

Provisions that by their nature should survive termination, including ownership, disclaimers, limitations of liability, indemnification, and governing law, will survive.

12. Disclaimers

The platform is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the platform will meet your requirements, that flows will render correctly on every device or app version, that analytics or experiment results will be accurate, complete, or free of error, or that any particular business outcome, revenue increase, conversion rate, or improvement in monetization or lifetime value will result from using the platform. You are responsible for validating flows and results before relying on them.

13. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, loss of goodwill, or business interruption, arising out of or relating to these Terms or the platform, whether based in contract, tort, or any other theory, even if advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to these Terms or the platform will not exceed the amounts you paid to us for the platform in the twelve months immediately preceding the event giving rise to the liability, or one hundred U.S. dollars if you have paid us nothing. These limitations apply notwithstanding the failure of any limited remedy to serve its essential purpose and form an essential basis of the bargain between the parties.

14. Indemnification

You will defend, indemnify, and hold harmless Speedy Deploy and its officers, directors, employees, and agents from and against any third-party claims, demands, actions, damages, losses, liabilities, and reasonable costs and expenses (including reasonable attorneys' fees) arising out of or relating to your Customer Content, the flows you build and deploy, your applications and your relationship with your end users, your use of the platform, your violation of these Terms or of any law, or your infringement or misappropriation of any third-party right.

We may, at our option, assume the exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate with us in asserting available defenses. You will not settle any matter that imposes any obligation or liability on us without our prior written consent.

15. Governing Law and Disputes

These Terms are governed by the laws of [governing jurisdiction], without regard to its conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the courts located in [venue] for any dispute arising out of or relating to these Terms or the platform, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

If any provision of these Terms is held unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of our right to do so later.

16. Changes to These Terms and Contact

We may update these Terms from time to time. When we make material changes, we will provide reasonable notice, such as by posting the updated Terms with a new effective date or by notifying you through the platform or by email. Changes take effect as of the stated effective date, and your continued use of the platform after that date constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the platform.
